END USER SOFTWARE LICENSE AGREEMENT Dakota Legal Software, Inc. ("Dakota") is willing to grant you, or, in the case that you represent a corporation or other organization, that corporation or organization (collectively and interchangeably, "Licensee" or "You") a limited, personal, non-exclusive license to use the "Software" set forth on the on the one or more order forms You have entered into with Dakota relating to the Software (each, an "Order Form") subject to Your acceptance and agreement to be bound by the terms of this End User Software License Agreement (together with the terms and conditions of the Order Form, the "Agreement"). BY CLICKING ON THE "CHECKBOX" BELOW (OR BY OTHERWISE INSTALLING OR USING ANY PORTION OF THE SOFTWARE), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AS IT RELATES TO THAT SOFTWARE AS OF THE DATE ON WHICH YOU FIRST CLICK THE "CHECKBOX", OR OTHERWISE FIRST INSTALL OR USE THE SOFTWARE (SUCH DATE, THE "EFFECTIVE DATE"). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DAKOTA IS UNWILLING TO GRANT YOU A LICENSE TO THE SOFTWARE, AND YOU SHOULD NOW CLOSE YOUR BROWSER TO DISCONTINUE THE INSTALLATION PROCESS. 1. Grant of License. Subject to the terms and conditions of this Agreement, Dakota grants to You a limited personal, non-exclusive, non-transferable perpetual, license to install, access and run the number of Licenses for the Software set forth in each applicable Order Form, solely in executable form, and at all times only for Your own internal business purposes. 2. Installation and Activation. 2.1 Installation. You may install, access, and run the number of Licenses for the Software specified on the Order Form. Each "License" for the Software permits a user to access and run the Software on a single Workstation, and only by the primary user of that Workstation (the "Primary User"). A single License may not be shared by multiple Workstations. The Software may be installed on a networked storage device (such as a network server) used only to install or run the Software on other Workstations over Licensee's internal network, provided that Licensee purchases a separate License for each Workstation on or from which the Software is accessed or run. Additional Licenses may be purchased from Dakota by entering into additional Order Forms for the Software with Dakota. All Licenses for the Software will be subject to the terms of this Agreement. A License for the Software may not be shared by Primary Users or used concurrently on different Workstations. 2.2 Activation. The license rights granted under this Agreement are limited to the Workstation upon which You first install the Software. If You replace or upgrade Your Workstation, You may transfer the Software to the new or different Workstation by contacting Dakota and supplying any information required to activate your licensed copy of the Software on the new or different Workstation, or for a new or different Primary User. After such a transfer, You must completely remove the Software from the former Workstation, and any former Primary User must discontinue use of the Software. There are technological measures in the Software that are designed to prevent unlicensed or illegal use of the Product. You agree that Dakota may use those measures to prevent Your unlicensed or illegal use of the Software. 3. Restrictions. 3.1 Use Restrictions. Except as expressly permitted under this Agreement, You will not, and will not allow any third party to: (1) copy the Software (except for a reasonable number of copies for backup and disaster recovery purposes or as described in the documentation accompanying the Software); (2) modify, translate, adapt, alter, or create derivative works from the Software; (3) merge the Software with any other software or documentation; (4) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software; (5) distribute, rent, lease or loan the Software to any third party; or (6) use the Software for the business needs of another person or entity, including without limitation, providing outsourcing, service bureau, commercial hosting, application service provider or on-line services to third parties. You may not remove, alter or obscure any proprietary notice that appears on the Software or on any copies of the Software made in accordance with this Agreement. 3.2 Version Restrictions. (a) Academic Licenses. Dakota may, in its sole discretion, make available a discounted license for use by current students and faculty of educational institutions ("Academic License"). If You are using the Software under an Academic License, You agree that within one calendar year from the last date upon which You were enrolled in or employed by an educational institution, You will either upgrade to the standard license by paying the difference between the then-current prices of the Academic License and the Single Workstation License, or cease all use of the Software. (b) Incremental Licenses. Dakota may, in its sole discretion, make available a discounted license for use by a Primary User on a secondary Workstation (an "Incremental License"). An Incremental License may only be used on a Workstation for which there is no Primary User. At the time of its purchase, an Incremental License must be associated with a specific License. When a License expires or otherwise terminates pursuant to Section 8 below, all Incremental Licenses associated with that License expire or terminate, too. Note, however, that an Incremental License may expire or terminate without affecting the status of the underlying License. 4. Ownership. The Software is licensed, not sold, to You for use solely subject to the terms and conditions of this Agreement. The Software and all worldwide Intellectual Property Rights (as defined below) therein and relating thereto, are and will remain the exclusive property of Dakota and its licensors, if any. Except for the limited rights expressly granted under Section 1, You will have no right, title or interest (whether by implication, estoppel, or otherwise) in or to the Software or any Intellectual Property Rights therein or thereto, and Dakota retains all rights, title and interest in and to the Software and such Intellectual Property Rights. You agree not to challenge or contest Dakota's rights to or ownership of, or otherwise attempt to assert any rights in, the Software or any Intellectual Property Rights therein or relating thereto. "Intellectual Property Rights" means all worldwide patent, patent applications, copyrights, trade secrets, trademarks, service marks, trade names and any other intellectual property, proprietary, database protection or other analogous rights. 5. Third Party Code. The Software may contain or include software code owned or provided by third-party licensors of Dakota ("Third-Party Code"). For any Third-Party Code clearly indicated to be subject to the terms of a third party software license (a "Third-Party License"), the terms of the applicable Third-Party License will apply to the Third-Party Code independent of the terms of this Agreement. Any Third Party Code not subject to a Third Party License is subject to the terms and conditions of this Agreement and the licensors of any such Third Party Code are third party beneficiaries of this Agreement. Nothing in this Agreement limits Your rights under, or grants rights to You that supersede, the terms of any applicable Third-Party License. 6. Support. Subject to the terms and conditions of this Agreement, Dakota will provide, on a commercially reasonable basis, the following support services for the Software ("Support") via email during normal Dakota business hours (which are 8:00 AM - 5:00 PM Mountain Time, Monday through Friday, excepting holidays): (1) investigation and confirmation of a report by You (submitted to Dakota via email) of a Failure (as defined below); (2) isolation of the problem(s) causing such Failure; and (3) as applicable, repair or replacement, at Dakota's sole discretion, of the Software as necessary to cure the Failure. In addition, You may access Dakota's online support database located at [website address], when available. A "Failure" means a failure of the Software to operate substantially in accordance with the then-current specifications for that software when the software has been installed and used in accordance with those specifications. Dakota will have no obligation to provide Support for any Failure that: (a) is due to a breach by You of the Agreement; (b) cannot be reasonably remedied; (c) is due to use of the Software in combination with third-party products, equipment, software, or data; (d) is due to any release of the Software other than the most current release or the two most recent prior releases made available by Dakota; (e) is due to any modifications to the Software not provided by Dakota; or (f) is caused by Your negligence, abuse, misapplication, or use of the Software. You will provide Dakota with reasonable assistance to resolve the Failure, including providing Dakota with sufficient access to and information regarding Your computing environment to enable Dakota to duplicate the Failure at issue and (as applicable) to determine that the Failure has been corrected. Dakota will have no liability for any changes required by Your hardware or software configuration which may be necessary to use the Software due to a workaround, error correction, or maintenance release. Dakota reserves the right to provide updates and upgrades for the Software to You at its convenience. Any updates, upgrades and any other repairs, replacements or modifications to the Software made available to You will be considered part of the "Software" for purposes of this Agreement and will be subject to the terms and conditions of this Agreement applicable to the Software. The Software contains components that enable and facilitate the use of certain Internet-based updating services. You acknowledge and agree that Dakota may automatically check the version of the Software and/or its components that You have installed and may provide upgrades or fixes to the Software that will be automatically downloaded to your Workstation via the Internet. Support is mandatory for the initial year of this Agreement following the Effective Date, and thereafter will automatically renew for an additional 1 year term (each such year a "Support Term") unless cancelled in accordance with the procedures set forth below in this Section 6. If You wish to cancel Support, You must notify Dakota no later than 30 days prior to the 1 year anniversary of the Effective Date or the end of any subsequent Support Term, as applicable, and indicate Your intent to cancel Support. 7. Fees and Payment. 7.1 Fees. In consideration of the rights to the Software provided under this Agreement, You will pay Dakota the License Fees and Support Fees listed on the Order Form applicable to the Software ("Fees"). You may, at any time during the term of the Agreement, increase the number of Licenses which you have purchased upon providing written notice to Dakota, together with payment of Dakota's then-current Fees associated with such number of additional Licenses. 7.2 Payment. On or before the Effective Date You will pay Dakota the "Initial Fee" listed on the Order Form based on the number of Licenses You are purchasing. The Initial Payment includes 1 year of Support for the purchased Licenses.. 7.3 Payment Terms. Payment of all Fees must be made in U.S. dollars. If You have specified credit card or direct withdrawal from a bank account as an applicable payment mechanism on an Order Form, You grant Dakota the right to charge the credit card or bank account specified in the applicable Order Form for all Fees incurred under this Agreement. Otherwise, You will be invoiced for all applicable Fees under this Agreement and You agree to make payment of each such invoice within 15 days of the date on the invoice. All Fees are non-refundable upon payment to Dakota. Your obligation to pay Fees not subject to a reasonable dispute will be unconditional and not subject to abatement, setoff or defense of any kind. Fees exclude all applicable sales, use, and other taxes, fees, duties and similar charges, and You will be responsible for payment of all such taxes (other than taxes based on Dakota's income), fees, duties, and charges. Any portion of the Fees not paid when due will accrue interest at 18% per annum (1.5% per month) or the maximum rate permitted by applicable law, whichever is less, from the due date until paid. 8. Term and Termination. The term of this Agreement will begin on the Effective Date set forth in the Order Form and, unless earlier terminated as set forth in this Agreement, will continue indefinitely. You may terminate this Agreement at any time by providing notice to Dakota. This Agreement will also automatically terminate if You breach a material term of this Agreement. Upon any termination of this Agreement, the license granted to You under Section 1 shall terminate, You agree to immediately cease all use of the Software, destroy all copies of the Software, and, upon the request of Dakota, certify in writing Your compliance with the terms and conditions of this Section 8. Upon any termination of this Agreement due to uncured breach by Dakota, You will be entitled to receive a pro rata amount of the Fees paid under this Agreement based on a 3 year useful life of the Software. The foregoing is Your exclusive remedy for Dakota's breach of this Agreement. Sections 4, 9, 10, 11, 12, and 16 shall survive termination of this Agreement. 9. Warranty and Disclaimer. Dakota warrants the media, if any, on which the Software is provided to You will be free from defects in materials under normal use for a 60-day period after Dakota delivers the Software to You. If You discover physical defects in the media, as Your sole remedy and Dakota's sole obligation under this warranty, Dakota will at its option either repair or replace the media at no charge to You. DAKOTA DOES NOT WARRANT THAT: (1) THE OPERATION OF THE SOFTWARE OR HARDWARE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT FUNCTIONS CONTAINED IN THE SOFTWARE WILL OPERATE IN COMBINATIONS OF SOFTWARE OR HARDWARE THAT MAY BE SELECTED FOR USE BY YOU; (2) THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (3) ANY RESULTS, OUTPUT, OR DATA PROVIDED THROUGH OR GENERATED BY THE SOFTWARE WILL BE ACCURATE, UP-TO-DATE, COMPLETE OR RELIABLE. EXCEPT AS EXPRESSLY STATED IN THIS SECTION 9, THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAKOTA SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, ARISING BY LAW OR OTHERWISE, RELATING TO THIS AGREEMENT AND THE SOFTWARE AND ANY SERVICES PROVIDED TO YOU, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. 10. Limitation of Liability. THE TOTAL CUMULATIVE LIABILITY OF DAKOTA UNDER THIS AGREEMENT, REGARDLESS OF THE BASIS OF LIABILITY OR THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, WILL NOT EXCEED THE FEES ACTUALLY PAID TO DAKOTA FOR THE PORTION OF THE SOFTWARE CAUSING THE LIABILITY. IN NO EVENT WILL DAKOTA BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, WHETHER FOR BREACH OF CONTRACT, TORT, OR OTHERWISE, AND REGARDLESS OF WHETHER DAKOTA HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES, INCLUDING WITHOUT LIMITATION, THE USE OR INABILITY TO USE THE SOFTWARE, LOSS OF PROFITS OR REVENUE, OR ANY RESULTS OBTAINED FROM OR THROUGH THE SOFTWARE. DAKOTA WILL NOT BE LIABLE FOR ANY NETWORK-RELATED PROBLEMS ATTRIBUTABLE TO THE SOFTWARE OR CHANGES TO NETWORK CONFIGURATION THAT MAY AFFECT THE PERFORMANCE OF THE SOFTWARE. 11. Indemnification. You will indemnify, defend, and hold harmless Dakota, its licensors, and each of their respective employees, officer, directors, and affiliates ("Indemnified Parties"), from any and all claims, losses, liabilities, damages, fees, expenses and costs (including attorneys' fees, court costs, damage awards, and settlement amounts) which result from any claim or allegation against any Indemnified Party arising from Your use of the Software or Your breach of any term of this Agreement. Dakota will provide You with notice of any such claim or allegation, and Dakota will have the right to participate in the defense of any such claim at its expense 12. Confidential Information. 12.1 Your Obligations. You acknowledge that the Software contains confidential and proprietary information of Dakota, including without limitation the source code, inventions, algorithms, know how and other proprietary information contained therein (collectively, "Confidential Information"). You agree to protect the Confidential Information with at least the same degree of care employed with respect to Your own confidential or proprietary information. You will not use the Confidential Information for any purpose other than in connection with Your use of the Software under the Agreement. Except as otherwise set forth in this Agreement, under no circumstances will You allow any third party to have access to the Software. 12.2 Dakota Obligations. Dakota agrees that all of Your information that it becomes aware of as a result of this Agreement is confidential and proprietary in nature, and that Dakota will not divulge or use such information in any manner other than as necessary to perform its obligations under this Agreement or as permitted by the Dakota Privacy Policy, a copy of which is available at www.cit-r-us.com/PrivacyPolicy.html. 13. Assignment. You may not assign, delegate or otherwise transfer this Agreement or any of Your rights or obligations under this Agreement without the prior written consent of Dakota. Unless specifically authorized in writing by Dakota, assignment of this Agreement will not release You from any prior outstanding obligation under this Agreement or allow You or Your assignee to expand the number of installations of the Software authorized under this Agreement. This Agreement is freely assignable by Dakota and will inure to the benefit of Dakota's successors and assigns. Any assignment in violation of this Section 13 is null and void. 14. Data Collection. The Software contains components that enable and facilitate the use of certain error-correction and reporting services. You acknowledge and agree that Dakota may automatically use data capture, analysis tools, and other similar tools, to review, extract, compile, synthesize, and analyze Your use of the Software and any crash-related data, as well as other non-personally identifiable data or information resulting from Your use of the Software, for use in error-reporting ("Data"). To the extent that any Data is collected by Dakota, such Data will be solely owned by Dakota and may be used by Dakota for any lawful business purpose without a duty of accounting to You, provided that the Data is used only in an aggregated form, without specifically identifying You as the source of the Data. Dakota shall have no obligation to You to maintain, store, or preserve any Data. 15. United States Government Restricted Rights. The Software is comprised of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R. 227.7202, as applicable. Consistent with 48 C.F.R. 12.212 or 48 C.F.R. 227.7202-1 through 4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are licensed to any U.S. Government customers: (a) only as Commercial Items; and (b) with only those rights as are granted to all other customers pursuant to the terms of this Agreement. 16. Additional Terms. This Agreement and all Order Forms entered into with Dakota relating to the Software (all of which are hereby incorporated herein and made a part hereof) constitutes the complete, final and exclusive agreement between the parties regarding the subject matter hereof and cancels and supersedes all prior or contemporaneous agreements, understandings, and communication, whether written or oral, between the parties. If any provision of this Agreement is found to be unenforceable, such term will be considered severable from the remaining terms, which will continue to be valid and enforceable. You may not export, ship, transmit, or re-export the Software in violation of any applicable law or regulation, including without limitation, the Export Administration Regulations issued by the United States Department of Commerce. The parties hereby disclaim the application to this Agreement of the 1980 U.N. Convention on Contracts for the International Sale of Goods. Any amendments or modifications of this Agreement will be binding upon the parties only if made in writing and signed by authorized representatives of both parties. Under no circumstances will the preprinted terms of any purchase order or any other terms apply to this Agreement. No waiver of any of the terms or conditions of this Agreement will be binding for any purpose unless made in writing and signed by authorized representatives of both parties and any such waiver will be effective only in the specific instance and for the purpose given. No failure or delay on the part of either of the parties in exercising any right will operate as a waiver, nor will any single or partial exercise by the either of the parties of any right preclude any other or further exercise thereof or the exercise of any other right. All notices, consents and approvals under this Agreement must be delivered in writing by personal delivery, electronic facsimile or certified mail, postage pre-paid, to the other party at its address set forth in the Order Form or at such other address as may be later designated by such party. Notices will be deemed to have been received upon the date of receipt or, in the case of certified mailing, 2 days after deposit in the mail. This Agreement will be governed by the laws of the State of Colorado without regard to conflicts of law principles. All disputes arising under this Agreement must be brought in the state and federal courts located in Denver, Colorado, as permitted by law. Each party irrevocably hereby consents to the jurisdiction and venue of any such court in any such action or proceeding. Facsimile signatures on this Agreement will have the same effect as originals, and this Agreement may be executed in duplicates and counterparts, each of which will be effective as an original. No agency, partnership, or joint venture is created by this Agreement. The parties are and remain at all times independent contractors and not agents or employees of the other party.
